These Terms of Service (“Terms”) govern your access to and use of the SuperDocs platform, including our web application at use.superdocs.app, our API, and any related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
SuperDocs is operated by [SuperDocs / Entity Name — to be updated upon company registration]. In these Terms, “SuperDocs,” “we,” “us,” and “our” refer to the operator of the Service.
Please read these Terms carefully. If you do not agree to these Terms, do not use the Service.
1. Introduction and Acceptance of Terms
By creating an account, accessing the Service, or using any part of the Service (including the public demo), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Your continued use of the Service after updated Terms take effect constitutes acceptance. See Section 20: Changes to Terms for details.
2. Definitions
Throughout these Terms, the following terms have specific meanings:
- “Account” means the user account you create to access the Service.
- “AI Features” means the artificial intelligence-powered document editing, analysis, and generation capabilities provided through the Service.
- “AI Operation” means a single AI-powered action performed through the Service, such as an AI-assisted edit, search, document analysis, or template customization. Manual actions (typing, formatting, copy-paste) do not count as AI Operations.
- “API” means the application programming interface provided by SuperDocs for programmatic access to the Service.
- “API Key” means the unique authentication credential issued to an Organization or Account for API access.
- “Content” means any text, documents, files, images, attachments, or other materials you create, upload, or submit through the Service.
- “Organization” means a business, company, or other entity that accesses the Service through an API Key.
- “Service” means the SuperDocs platform, including the web application, API, and all related features and functionality.
- “Subscription Plan” means the tier of service you have selected (Free, Plus, Pro, or Enterprise), including its associated usage limits and features.
- “User” or “you” means any individual or entity that accesses or uses the Service, whether through an Account, API Key, or the public demo.
3. Service Description
SuperDocs is an AI-powered document editing platform. The Service enables you to:
- Create, edit, and manage documents with AI assistance
- Use natural language instructions to direct AI document editing
- Upload and process attachments (PDFs, images, text files) for AI-assisted analysis
- Access professional document templates
- Integrate AI document editing into your own products via our API
The Service is available through a web application for individual users and through an API for businesses and developers.
SuperDocs is a tool that assists with document work. The Service is not a substitute for professional advice in any field, including but not limited to legal, medical, financial, or tax advice. You are responsible for reviewing all content — including AI-assisted content — before relying on it.
4. Account Registration
Eligibility. You must be at least 16 years old to create an Account. By creating an Account, you represent that you meet this requirement.
Account information. You agree to provide accurate, current, and complete information during registration and to keep your Account information up to date.
Account security. You are responsible for maintaining the security of your Account credentials (password, API keys, and any other authentication methods). You agree to:
- Keep your password confidential and not share it with anyone
- Keep your API keys secure and not expose them in public repositories, client-side code, or insecure environments
- Notify us immediately at hello@superdocs.app if you suspect unauthorized access to your Account
Account responsibility. You are responsible for all activity that occurs under your Account, whether or not you authorized it. SuperDocs is not liable for any loss or damage arising from unauthorized use of your Account.
One account per person. Each individual may maintain only one Account. Creating multiple Accounts to circumvent usage limits or for any other purpose is a violation of these Terms.
5. Subscription Plans and Payment
Available plans. The Service is available under the following Subscription Plans:

All plans include access to the full web editor, API, and all AI capabilities. Plans differ by usage volume, not features.
Pricing changes. We may change our pricing at any time. If we change the pricing for your current plan, we will notify you at least 30 days before the change takes effect. You may cancel your subscription before the new pricing takes effect. Existing subscribers will be grandfathered at their current rate for a reasonable transition period.
Billing. Paid plans are billed monthly. Payment is due at the beginning of each billing period. All fees are stated in US Dollars and are non-refundable except as expressly stated in these Terms or required by applicable law.
Cancellation. You may cancel your paid subscription at any time. Upon cancellation:
- Your paid plan remains active until the end of the current billing period
- After the billing period ends, your Account reverts to the Free plan
- You retain access to your Content on the Free plan, subject to Free plan usage limits
Refunds. We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at hello@superdocs.app and we will review your case.
Enterprise plans. Enterprise plans are governed by a separate agreement. Contact hello@superdocs.app for Enterprise pricing and terms.
6. Usage Limits and Fair Use
Operation limits. Each Subscription Plan includes a monthly allocation of AI Operations. An AI Operation is any AI-powered action, including but not limited to: AI-assisted edits, document searches, document analysis, and template customization. Manual actions such as typing, formatting, and copy-pasting do not count as AI Operations.
Monthly reset. AI Operation allocations reset at the beginning of each billing period. Unused AI Operations do not roll over to the next month.
When you reach your limit:
- Free plan: When you reach 500 AI Operations, AI Features will be paused until the next billing period. You may upgrade to a paid plan to continue using AI Features immediately.
- Plus plan: If you exceed 2,000 AI Operations, additional AI operations are billed at $0.01 per AI operation, up to a maximum of 4,000 total AI operations per month. If you consistently need more than 4,000 AI operations, we recommend upgrading to the Pro plan.
- Pro plan: If you exceed 10,000 AI Operations, additional AI operations are billed at $0.015 per AI operation. There is no cap on Pro plan overage — your integration will never stop working mid-month.
- Enterprise plan: Usage limits are defined in your Enterprise agreement.
Fair use. The Service is intended for genuine document editing and processing. You agree not to:
- Use automated scripts or bots to consume AI Operations without genuine document work
- Systematically extract or harvest AI model outputs for purposes unrelated to document editing
- Share Account credentials to allow multiple individuals to circumvent per-account usage limits
- Exploit the Free plan to avoid paying for commercial use of the Service
We reserve the right to suspend or limit access for Accounts that exhibit usage patterns inconsistent with genuine document editing, after providing notice and an opportunity to address the concern.
7. User Content and Ownership
Your Content is yours. You retain all rights, title, and interest in your Content. SuperDocs does not claim any ownership rights over your documents, attachments, or any other Content you create or upload through the Service.
License to provide the Service. By uploading or creating Content through the Service, you grant SuperDocs a limited, non-exclusive, worldwide license to host, store, process, and display your Content solely for the purpose of providing the Service. This license ends when you delete your Content or your Account.
No AI training on your Content. We do not use your documents, prompts, or Content to train any AI or machine learning models. Your Content is processed solely to provide you with the features you request.
Content responsibility. You are solely responsible for your Content. You represent and warrant that:
- You have the right to upload, create, and share any Content you submit through the Service
- Your Content does not infringe or violate any third party's intellectual property rights, privacy rights, or other legal rights
- Your Content complies with all applicable laws and these Terms
Content portability. Your Content is stored in standard, open formats. You can export your Content at any time. We do not use proprietary formats or lock-in mechanisms.
Content deletion. You may delete your Content at any time through the Service. When you delete Content, it is removed in accordance with our Privacy Policy. Some data may persist in encrypted backups for up to 90 days before permanent deletion.
8. AI-Generated Content
Ownership. Content that is generated or modified with the assistance of AI Features belongs to you. You may use AI-assisted content for any lawful purpose, subject to these Terms.
No accuracy guarantee. AI-generated content is provided as assistance. SuperDocs does not guarantee the accuracy, completeness, appropriateness, or legal sufficiency of any content generated or modified by AI Features. You are responsible for:
- Reviewing all AI-generated content before use
- Verifying the accuracy and appropriateness of AI-generated content for your specific purpose
- Ensuring AI-generated content complies with applicable laws and regulations in your jurisdiction
AI model changes. We may update, change, or replace the AI models and methods used to provide AI Features at any time without prior notice, provided the Service continues to function materially as described. We do not guarantee the availability of any specific AI model or method.
Professional advice disclaimer. AI-generated content is not professional advice. The Service is not a substitute for advice from qualified professionals in any field, including legal, medical, financial, accounting, or tax matters. Always consult a qualified professional for advice specific to your situation.
9. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:
Illegal and harmful activities:
- Violate any applicable law, regulation, or legal obligation
- Create, store, or distribute content that exploits, harms, or endangers minors
- Generate content that promotes violence, terrorism, or incites hatred against individuals or groups
- Create content intended to harass, threaten, stalk, or intimidate others
- Engage in fraud, phishing, or other deceptive practices
Misuse of the Service:
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying methods of the Service
- Circumvent, disable, or interfere with usage limits, security features, or access controls
- Use the Service to build a product or service that directly competes with SuperDocs
- Resell, sublicense, or redistribute access to the Service without our prior written authorization
- Access the Service through automated means (bots, scrapers, crawlers) except through the API as permitted by your Subscription Plan
- Interfere with or disrupt the Service, servers, or networks connected to the Service
Content restrictions:
- Upload or create content that infringes any intellectual property or proprietary right of any third party
- Upload malware, viruses, or other malicious code
- Upload or create content that violates any person's privacy or publicity rights
- Generate spam, unsolicited communications, or bulk messaging
Security:
- Probe, scan, or test the vulnerability of the Service or any connected system without authorization
- Attempt to gain unauthorized access to any part of the Service, other users' Accounts, or any systems or networks connected to the Service
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these restrictions, including removing Content, suspending or terminating Accounts, and reporting to law enforcement where appropriate.
10. API Terms
If you access the Service through our API, the following additional terms apply:
API access. API access is available on all Subscription Plans. Your use of the API is subject to the same usage limits and fair use policies as the web application.
Authentication. You must authenticate all API requests using a valid API Key. Each API Key is unique to your Organization or Account. You are responsible for all activity associated with your API Key.
API key security. You must:
- Keep API Keys confidential and store them securely
- Not expose API Keys in public repositories, client-side code, or other insecure environments
- Revoke and replace any API Key you believe has been compromised
- Not share API Keys with unauthorized parties
Rate limits. API requests are subject to rate limits based on your Subscription Plan. We reserve the right to throttle or temporarily restrict API access to maintain service quality for all users.
End-user responsibility. If you integrate the Service into your own product, you are responsible for:
- Your end users' compliance with these Terms and all applicable laws
- Providing appropriate terms of service and privacy notices to your end users
- Ensuring your integration does not expose your API Key to your end users
- Any Content your end users create or process through your integration
Data processing. When you integrate the Service through the API, you are the data controller for your end users' data. SuperDocs acts as a data processor on your behalf, processing data only as instructed by your API requests. See our Privacy Policy for details.
API changes. We may update, modify, or deprecate API endpoints with reasonable notice. We will make commercially reasonable efforts to maintain backward compatibility and provide advance notice of breaking changes.
11. Intellectual Property
SuperDocs ownership. SuperDocs and its licensors own all rights, title, and interest in the Service, including but not limited to:
- The software, technology, and methods that power the Service
- The SuperDocs name, logo, mascot, and all related branding
- The design, layout, and user interface of the Service
- Documentation, marketing materials, and other content created by SuperDocs
Nothing in these Terms grants you any right, title, or interest in the Service itself, except for the limited right to use the Service in accordance with these Terms.
Feedback. If you provide us with feedback, suggestions, or ideas about the Service (“Feedback”), you grant SuperDocs a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate your Feedback into the Service without any obligation or compensation to you. You are never required to provide Feedback.
Trademarks. “SuperDocs” and our logo are trademarks of SuperDocs. You may not use our trademarks without our prior written permission, except to accurately refer to the Service (e.g., “Powered by SuperDocs” in your integration, with our approval).
12. Third-Party Services
The Service relies on third-party service providers for infrastructure, authentication, AI processing, and other functions. These providers have their own terms and privacy policies.
We select service providers that maintain industry-recognized security standards. However, we are not responsible for the practices, content, or availability of third-party services. Your use of the Service is also subject to the applicable terms and policies of our service providers.

13. Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understand our Privacy Policy.
Key commitments reflected in our Privacy Policy:
- We do not sell your personal data
- We do not use your documents or Content to train AI models
- We encrypt data at rest and in transit
- We maintain GDPR-aligned practices
- We provide data export and deletion capabilities
14. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. To the maximum extent permitted by applicable law, SuperDocs expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components
- Warranties regarding the accuracy, reliability, or completeness of any content generated by AI Features
- Warranties that the Service will meet your specific requirements
AI disclaimer. AI Features are tools designed to assist with document work. They do not replace human judgment, review, or professional expertise. AI-generated content may contain errors, inaccuracies, or omissions. You acknowledge that you use AI Features at your own discretion and risk.
No professional advice. The Service does not provide legal, medical, financial, tax, or other professional advice. Content generated by the Service should not be relied upon as a substitute for consultation with qualified professionals.
15. Limitation of Liability
To the maximum extent permitted by applicable law:
No consequential damages. In no event shall SuperDocs, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, loss of business opportunities, business interruption, or cost of procurement of substitute services, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if SuperDocs has been advised of the possibility of such damages.
Liability cap. SuperDocs's total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of:
- The total amount you paid to SuperDocs for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or
- Fifty US Dollars ($50)
Exclusions. The limitations in this section do not apply to:
- SuperDocs's gross negligence or willful misconduct
- Liability that cannot be limited or excluded under applicable law
- SuperDocs's obligations under applicable data protection laws
Basis of the bargain. You acknowledge that these limitations of liability are an essential element of the agreement between you and SuperDocs, and that SuperDocs would not provide the Service without these limitations.
16. Indemnification
You agree to indemnify, defend, and hold harmless SuperDocs, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service in violation of these Terms
- Your Content, including any claim that your Content infringes or violates any third party's rights
- Your violation of any applicable law, regulation, or third-party right
- If you are an API customer: your end users' use of the Service through your integration
If you are an individual consumer in a jurisdiction where indemnification clauses are restricted by law, this section applies only to the extent permitted by applicable law.
17. Termination
By you. You may stop using the Service at any time. You may delete your Account by contacting hello@superdocs.app. Upon Account deletion, your data will be handled in accordance with our Privacy Policy.
By us. We may suspend or terminate your access to the Service if:
- You violate these Terms, including the Acceptable Use Policy
- Your use of the Service poses a security risk to the Service or other users
- You fail to pay applicable fees after reasonable notice
- We are required to do so by law
- We discontinue the Service (with reasonable advance notice)
Notice. Except in cases of serious or urgent violations, we will make reasonable efforts to notify you before suspending or terminating your Account and provide an opportunity to address the concern.
Effect of termination. Upon termination:
- Your right to use the Service ceases
- You may request an export of your Content within 30 days of termination (except in cases of termination for serious violations)
- We will delete your data in accordance with our Privacy Policy
- Provisions that by their nature should survive termination will survive, including: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Disputes, and General Provisions
18. Governing Law and Disputes
Governing law. These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Note: Governing law jurisdiction will be updated upon formal company registration.
Informal resolution first. Before initiating any formal dispute resolution, you agree to contact us at hello@superdocs.app and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved quickly through direct communication.
Arbitration. If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended. The arbitration shall be:
- Conducted by a sole arbitrator mutually agreed upon by the parties, or appointed in accordance with the applicable arbitration rules
- Held in English
- Conducted remotely (via videoconference) unless both parties agree otherwise
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Individual basis only. To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If this waiver is found to be unenforceable in your jurisdiction, this entire arbitration provision shall be void, and disputes shall be resolved by courts of competent jurisdiction in India.
Small claims exception. Either party may bring a claim in a small claims court of competent jurisdiction as an alternative to arbitration.
Time limitation. Any claim arising out of or related to these Terms must be filed within one (1) year after the claim arose, or such claim is permanently barred. This limitation does not apply where prohibited by applicable law.
19. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any Enterprise agreements, constitute the entire agreement between you and SuperDocs regarding the Service and supersede all prior agreements, discussions, and understandings.
Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision is only effective if made in writing and signed by SuperDocs.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SuperDocs may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, with notice to you.
Force majeure. SuperDocs shall not be liable for any delay or failure to perform obligations under these Terms resulting from causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemic, internet or telecommunications failures, power outages, or third-party service provider outages.
Notices. We may send you notices via email to the address associated with your Account or through in-app notifications. You may send us notices at hello@superdocs.app. Notices are considered received when sent via email or when posted within the Service.
Headings. Section headings are for convenience only and have no legal effect.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights, except as expressly stated.
20. Changes to Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, or applicable law.
How we notify you:
- For material changes, we will notify you by email (sent to the address associated with your Account) and/or by placing a prominent notice within the Service at least 30 days before the changes take effect.
- For non-material changes (e.g., clarifications, formatting, or corrections), we will update the “Last Updated” date at the top of these Terms.
Your options. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you may stop using the Service and delete your Account before the changes take effect. For paid subscribers, if you cancel due to a material change in Terms, we will provide a pro-rata refund for the unused portion of your current billing period.
